Terms of Use – Mercilia

This Terms of Use Agreement (“Agreement”) governs your access to and use of Mercilia, a wellness application operated by HiveTek Kuwait W.L.L. (“HiveTek,” “we,” “us,” or “our”). By downloading, installing, or using Mercilia (the “Application” or “App”), you (“User,” “you,” or “your”) agree to be legally bound by this Agreement. If you do not agree, you must not install or use the Application.

1. Eligibility

You must be at least 13 years of age to use Mercilia. If under 18, you must have parental or guardian consent. Mercilia is not directed toward users under the age of 13.

2. Accounts

Access to Mercilia is provided through Apple ID or Google Sign-In. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. HiveTek is not liable for unauthorized access resulting from your failure to safeguard your credentials.

3. Subscriptions & Payments

  • Mercilia offers monthly, yearly, and lifetime subscription plans.
  • All payments are processed by Apple Inc. and Google LLC. HiveTek does not store or process payment information directly.
  • Subscriptions renew automatically unless cancelled through your respective App Store account settings at least 24 hours before renewal.
  • Refunds are handled exclusively under Apple and Google refund policies. HiveTek cannot issue refunds directly.

4. Wellness Disclaimer

Mercilia provides yoga, breathwork, and ritual guidance for general wellness. It is not medical advice and should not replace professional consultation. Always consult a qualified healthcare provider before starting any new wellness or fitness practice. Use of the Application is voluntary and at your own risk.

5. Intellectual Property

All rights, title, and interest in the Application and its content—including text, audio, imagery, sequences, transitions, and branding—belong to HiveTek (Kuwait) or its licensors. You are granted a limited, revocable, non-transferable, non-exclusive license for personal use only.

  • You may not copy, reproduce, or distribute any content from Mercilia.
  • You may not screen-record, extract, or reverse-engineer any part of the Application.
  • You may not reuse or modify Mercilia’s unique sequences, naming conventions, or instructional structure for derivative works.
  • The “Ascension” sequence is a proprietary yoga methodology of HiveTek. Replication or teaching outside the app is prohibited.

6. User Obligations

  • Use Mercilia only for lawful and personal purposes.
  • Do not upload harmful code, disrupt servers, or exploit vulnerabilities.
  • Do not misrepresent affiliation with HiveTek.
  • Do not engage in unauthorized sharing, resale, or scraping of app content.

7. Indemnification

You agree to indemnify, defend, and hold harmless HiveTek, its affiliates, and licensors from any claims, losses, or expenses arising from your misuse of Mercilia or violation of these Terms.

8. Termination

HiveTek may suspend or terminate your access immediately for breach of these Terms or suspected fraud. You may terminate use at any time by uninstalling the Application or cancelling your subscription. Clauses concerning Intellectual Property, Limitation of Liability, and Governing Law survive termination.

9. No Warranty

Mercilia is provided on an “as is” and “as available” basis. HiveTek disclaims all express or implied warranties, including fitness for a particular purpose and uninterrupted operation. Technical issues may occur, and HiveTek shall not be held liable for any resulting disruption or loss.

10. Limitation of Liability

To the fullest extent permitted by law, HiveTek and its affiliates shall not be liable for indirect, incidental, consequential, or punitive damages. Total cumulative liability shall not exceed the amount you paid for Mercilia in the preceding twelve (12) months. Nothing herein limits liability for death or injury caused by negligence where such limitation is prohibited by law.

11. Governing Law

These Terms are governed by the laws of the State of Kuwait, interpreted consistently with EU consumer and data-protection standards. Any dispute shall be resolved exclusively in the courts of Kuwait, without prejudice to mandatory consumer rights under applicable law.

12. Updates to These Terms

HiveTek may revise these Terms periodically. Updates will be posted at https://mercilia.app/terms, and continued use of Mercilia constitutes acceptance of the updated Terms.
